Even if you're not that interested in the official club business, please try to attend as most people find it quite informative, plus it's one of our main club social events of the season and a good chance to meet and connect with other Nordic skiers!

Time: 5:30 pm (meal first, then business meeting at 7pm)

• This will be combined with a potluck dinner and social. Please bring a food contribution to the potluck.
• Big thanks to Arlene Schieven for once again offering her home for this event!

• BYO Dishes, cutlery and wine/beer glasses (Arlene doesn't have enough of these for all of us, and this will save creating garbage from paper plates, etc.)
• There is very limited parking at Arlene's. Please carpool, walk, take the Resort shuttle, or park at P2 which is a short 7 minute walk away. (Feel free to pull into her driveway to drop off people and/or food for the potluck, though).
• Arlene's house number is hard to see. She's on the uphill side, i.e. the left if you're coming from the Village end. The main entrance is up the stairs on the left side of the house as you look from the street.
• Kids are welcome but please be aware there is no separate space for them; they will be in with the grown-ups.

• Don't forget to join the Club if you haven't already. You need to be a member to vote at the AGM.
  
• Our Board of Directors for the year will be elected at the AGM. As it currently stands, all current directors are standing for re-election, however if you're interested in being a director, or want to find out more about it, please contact us at [email protected]. We welcome new faces! Technically we can accept nominations from the floor, but it's better to know ahead of time if anyone new wants to stand for election. We currently have room to add new members to our Board without anyone having to step down.

Special Resolutions

We have 2 Special Resolutions to be passed at this year's AGM. They are both amendments to our Bylaws and are "housekeeping" items to align the Bylaws to what we are already doing.

Special Resolution #1: Addition of the Nordic Supervisor as Ex-Officio non-voting member of the Board. This will enable better 2-way communication with our representative on the Resort staff.
Section 7.4 of the Bylaws will be changed from:
“A Director must be a member in good standing of the Society, not be less than eighteen
(18) years of age.”

“A Director must be a member in good standing of the Society, not be less than eighteen
(18) years of age. The Sun Peaks Resort Nordic Supervisor (or other equivalent Resort employee fulfilling the same function) may sit on the Board of Directors as an Ex-Officio non-voting member of the Board of Directors. Should circumstances be deemed to require it, an In Camera meeting of the Board may be held consisting of elected Directors only.”
 
Special Resolution #2: Change of notice required for AGM. Our Bylaws (drafted in 2013) state the required notice is 30 days, however in the Societies Act the default notice is 14 days. Historically it has been difficult to comply with the 30 days notice and the change to 14 days will align us with the Societies Act.
Section 5.3.1.1 of the Bylaws will be changed from:
“At least thirty (30) days in advance of an Annual General
Meeting;”
To read:
“At least fourteen (14) days in advance of an Annual General
Meeting;”
